These Wholesale & Reseller Terms & Conditions (“Agreement”) govern the relationship between Pro Grips USA (“Company,” “we,” “us,” or “our”) and any approved wholesale customer, distributor, or reseller (“Retailer,” “you,” or “your”).

By submitting a wholesale application, placing a wholesale order, or purchasing products at wholesale pricing, you agree to be bound by this Agreement.

1. Authorization & Approval

Wholesale accounts are granted at the sole discretion of Pro Grips USA.

Submission of an application does not guarantee approval. We reserve the right to:

  • Approve or deny any application
  • Revoke wholesale status at any time
  • Request additional documentation
  • Suspend accounts for policy violations

Wholesale authorization is non-transferable.

2. Minimum Order Requirements

Retailers must meet the following:

  • Minimum opening order requirement (as communicated upon approval)
  • Minimum reorder quantities
  • Case pack compliance where applicable

Pro Grips USA reserves the right to update minimum order requirements at any time.

3. Pricing & Payment Terms

All wholesale pricing is confidential and may not be shared publicly.

Accepted payment methods may include:

  • Credit Card
  • ACH
  • Wire Transfer

Unless otherwise agreed in writing:

  • Orders must be prepaid prior to shipment
  • Net payment terms (if offered) are subject to credit approval

Late payments may result in:

  • Account suspension
  • Revocation of wholesale privileges
  • Collection actions

Prices are subject to change without notice.

4. Minimum Advertised Price (MAP) Policy

To protect brand integrity and ensure fair competition, Retailers agree to comply with Pro Grips USA’s MAP Policy.

Retailers may not advertise products below the established Minimum Advertised Price without written authorization.

Violations may result in:

  1. Written warning
  2. Suspension of wholesale privileges
  3. Permanent termination of reseller status

Pro Grips USA reserves the right to monitor advertised pricing across all platforms.

5. Online Sales & Marketplace Restrictions

Retailers must disclose all online sales channels during the application process.

Unless explicitly authorized in writing, Retailers may NOT:

  • Sell on Amazon
  • Sell on eBay
  • Sell on Walmart Marketplace
  • Sell on third-party marketplaces
  • Resell to other distributors or resellers

Retailers are responsible for ensuring compliance across all digital platforms.

Unauthorized marketplace sales may result in immediate termination.

6. Brand Representation & Intellectual Property

Retailers agree to:

  • Represent Pro Grips USA products accurately
  • Use only approved logos, images, and marketing materials
  • Maintain brand presentation standards
  • Avoid misleading product claims

All intellectual property, including trademarks, logos, product names, and marketing materials, remains the exclusive property of Pro Grips USA.

Unauthorized use is strictly prohibited.

7. Territory & Exclusivity

Wholesale authorization does not grant:

  • Territorial exclusivity
  • Category exclusivity
  • Distribution rights

Any exclusivity must be granted in a separate written agreement signed by Pro Grips USA.

8. Order Fulfillment & Shipping

Orders are fulfilled through approved shipping carriers organized via Shippo or other designated logistics providers.

Shipping costs, risk of loss, and delivery terms will be communicated at the time of order.

Risk transfers to the Retailer once the shipment is delivered to the carrier.

9. Returns & Damages (Wholesale)

Wholesale returns are strictly limited.

We do not accept returns for:

  • Unsold inventory
  • Overstock
  • Slow-moving product

Defective or damaged goods must be reported within 7 days of delivery with supporting documentation (photos required).

Approved claims may result in replacement or credit at our discretion.

10. Product Use & Liability

Retailers are responsible for:

  • Proper storage
  • Proper handling
  • Accurate product representation

Pro Grips USA shall not be liable for indirect, incidental, or consequential damages arising from resale or product use.

Our maximum liability shall not exceed the wholesale purchase price of the affected products.

11. Confidentiality

Wholesale pricing, product releases, policies, and account terms are confidential.

Retailers may not disclose proprietary information to third parties without written consent.

12. Termination

Pro Grips USA may terminate this Agreement at any time for:

  • MAP violations
  • Unauthorized marketplace sales
  • Late or unpaid invoices
  • Brand misuse
  • Fraudulent activity
  • Breach of any provision of this Agreement

Upon termination:

  • Wholesale privileges are revoked
  • Outstanding balances remain due
  • Continued resale may be prohibited

13. Governing Law

This Agreement shall be governed by and construed under the laws of the United States.

Any disputes shall be resolved in the appropriate courts within the United States.

14. Amendments

Pro Grips USA reserves the right to modify these Wholesale Terms & Conditions at any time.

Continued wholesale purchasing constitutes acceptance of any revisions.
